Representation Agreement

This contract is dated as of and is entered into by and between , her ei naf t er r ef er r ed t o as “ Li censor ” ;

and , hereinafter referred to as

“ Agent ” --- col l ect i vel y , t he “ Par t i es” . Wher eas Li censor appoi nt s Agent as exclusive representative for licensing the copyright of Artworks described in Article one (1) within the Territory and Term specified, both parties have agreed to the terms and conditions set forth herein.

1. Scope of Representation

Artworks: including but not limited to

(1) Selected images by artists: see attached Exhibit A (Artwork(s) Selection Sheet);

(2) Related copyrights;

(3) Related signatures and trademarks ---her ei naf t er r ef er r ed t o as “ Ar t wor ks” .

Licensor agrees that Agent will have the right to seek out licensees ( her ei naf t er r ef er r ed t o as “ Li censee( s) ) t o use Ar t wor ks i n connect i on with the manufacture, sale, advertising, and promotion of any and all articles of merchandise, as well as to use in any advertising or promotional campaigns. The aforesaid usage excludes the profit-making use on electric displays. If developed, Agent may submit proposals, which will be evaluated by Licensor on a case-by-case basis.

The af or esai d “ Li censee( s) ” means any t hi r d par t y/ par t i es wi t h whom that Agent enters into license agreement(s) (hereinafter referred to as

“ Li cense Agr eement ( s) ” ) under Li censor ’ s prior written consent.

2. Term

The term of this Agreement is for a period of years from the effective date above and will automatically renew for successive year term unless and until one party notifies the other of its wish to terminate this agreement in writing at least ______ days prior to the beginning of the next term.

3. Territory .

When Licensor is contacted directly by prospects who are interested in the Artworks and whose principle place of business is in the Territory, Licensor shall forward the query to Agent for action.

4. Payment

4.1 All payment shall be made by wire transfers and in US dollars.

4.2 Commission

( %) of any gross receipts from Licensing Agreements that Agent secures for Licensor will be granted to Agent as Commission payment. Agent will pay Licensor ( %) of the gross receipts one (1) time each calendar quarter, within days following the end of the .

6. Responsibilities

5.1 Responsibilities of Licensor

Licensor warrants that the rights of Artworks are true and

existing and the contents of Artworks shall be free from

imitation or copyright infringement. Licensor agrees to

indemnify Agent and hold them harmless from any claims,

rulings, judgments or demands made upon them as a result

of their performing their services as herein described,

unless due to any intentional act or gross negligence of the

Agent or of any employee of the Agent.

5.2 Responsibilities of Agent

5.2.1 Agent shall handle all negotiations with prospective licensees, prepare and monitor resulting contracts and royalty statements.

5.2.2 Agent shall be responsible for billings and provide to Licensor copies of all License Agreements, invoices, checks and royalty statements between Agent and Licensee(s) along with calculation of payment due to Licensor. Agent shall provide License Agreement(s) to Licensor within days following its execution of such License Agreement(s) with Licensee(s). Agent shall provide the aforesaid invoices, checks, royalty statements and calculation of payment to Licensor within days following its remittance of payment pursuant to the Article 4 hereof.

5.2.3 In no case shall the Agent have or claim any lien over any property of Licensor.

7. Ownership of Rights

Licensor reserves the copyright, trademark, and other intellectual property rights of Artworks. No assignment or sublicensing by Agent of the rights of Artworks stated in this Agreement shall be allowed.

8. Obligation to Confidentiality

Both parties shall be liable to keep confidential all commercial secrets and undisclosed data obtained from the performance of this Agreement. No provision or disclosure of such data to a third party and no use of such data for other purposes without prior written consent from the respective party shall be allowed during and after the period when this Agreement is in force.

8. Termination and Expiration

8.1 The Agreement will be terminated after days written notice in any of the following cases:

A) By mutual agreement in writing of the parties;

B) By the non-defaulting party, in the event of default by the

other party in the due performance of its obligations under

the Agreement, which default is not remedied within

days after receipt of written notice of default from the non-defaulting party;

C) By the other party, either party making an assignment for the benefit of creditors, or being adjudged bankrupt, or insolvent, or filing any petition seeking for itself any arrangement for dissolution and liquidation of its interests;

or

D) By either party, if a force majeure condition under Article 10 hereof makes it unreasonable to proceed Agreement in the foreseeable future.

8.2 In the event of termination or expiration of this Agreement, Agent shall

9. Force Majeure

Neither party shall be liable to the other party for nonperformance or delay in performance or any of its obligations under the Agreement due to war, revolution, riot, strike or other labor dispute, fire, flood, acts of government or any other causes reasonably beyond a par t y’ s cont r ol . Upon t he occur r ence of such a f or ce majeure condition the affected party shall immediately notify the other party of any further developments. Immediately after such condition is removed, the affected party shall perform such obligation with all due speed, subject to termination under Article 8 hereof.

10. Copyright Protection

Agent agrees that it will cause to appear on or within each product under this Agreement and on or within all packaging, promotional, advertising or display materials bearing the Artworks the copyright notice provided by Licensor as attached hereto as Exhibit C.

11. Notification and Delivery

All notices, statements and payments hereunder shall be given or

made at the respective addresses of the Parties set forth below or

at such other addresses as the Parties may designate from time to time in writing

12. Supplementation

This Agreement shall replace all previous suggestions or agreements, either oral or written, made in conferences between both Parties; except for written data that both Parties shall deem a part of this contract.

All amendments, removal and/or addenda of this Agreement shall be made in writing and agreed upon by both Parties.

13. Special Clauses

The title of article of this Agreement shall not affect the interpretation of the content of each article.

The abandonment or non-performance, either in part or as a whole, of all rights derived from this Agreement shall not affect the exercise of other rights.

14. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the _______________. Both parties agree to submit any dispute arising out of or in connection with this Agreement, which cannot be amicably resolved, to the _______________ Court for the first instance.

15. Number of Copies

Whereas the Licensor agrees to license the copyright of the Artworks to the Licensee for the distribution of produced by the Licensee, both parties have agreed to the terms and conditions set forth herein.

(1)Advance: Licensee will have the right to reproduce and promote its Products based on the Artworks in consideration of a one-time, non-refundable advance payment of Dollars ($ ) for each Artwork, payable within ays after signing this agreement.

(2) Royalty: Licensee will pay to Licensor a fee equal to ( %) Per cent of “ net sal es. ” Net Sal es i s def i ned as t he gr oss amount billed to customers, less discounts and allowances actually allowed customers, as reflected in the invoice; and net of all returns actually made or allowed as supported by credit memos issued to customers.

(3) Royalty Payments: Royalty payments shall be made on or before the ( ) day following the end of each calendar quarter (Royalty Period) with respect to the Products based on the Artworks shipped during the preceding Royalty Period.

7. Warranty of Rights

(1)Licensor shall warrant that the rights licensed to Licensee are true and existing, and the

contents of Artworks shall be free from imitation or copyright infringement.

(2) Both parties agree to consult with the original author (copyright proprietor) to settle all disputes regarding copyright infringement when such disputes shall not be blamable on the Licensor. No mediation or private settlement on disputes over Artworks, including waive, commitment, recognition of damages or any i nj ur i es of Li censor ’ s r eput at i on or t he r i ght s of t he or i gi nal aut hor (copyright proprietor) between Licensee and other parties shall be allowed without communication with or presence of the Licensor.

8. Ownership of Rights

The copyright, trademark, and other intellectual property rights of Artworks shall be owned by Licensor or any other authorized party thereof. Transfer of the right of the Artworks stipulated in this agreement is prohibited.

9. Approvals, Quality, and Samples

(1) Approval Procedure: Before commencing or authorizing third

parties to commence the design or development of the

Products, or of any and all promotional, advertising or

packagi ng mat er i al s r el at ed t her et o ( t he “ Pr omot i onal and

Packagi ng Mat er i al ” ) , Li censee shal l submi t as i t s own cost t o

Licensor for review for approval the following material in the

following sequence: (i) layouts and descriptions of the

proposed Products and Promotional and Packaging Material

showing exactly how and where the Artwork and other wording will the used; (ii) pre-production samples of the proposed Products and Promotional and Packaging Material.

Licensor shall have ( )business days after receipt to inspect each such submission and to provide Licensee with written notice of disapproval, approval and/or of any changes required, and unless such notice is received, the materials submitted shall not be deemed approved. Licensor shall have the right to disapprove of any submission in its sole and reasonable discretion.

(2) Quality Standard: The Products reproduced from the Artworks shall be of a high standard and quality in accordance with established industry standards; that such Products reproduced from the Artworks will be manufactured, packaged, sold, distributed and advertised in accordance with all applicable laws; and that Licensee shall maintain a vigorous quality control and safety assurance program with respect to the reproduction of the Artworks.

(3) Complimentary Units: Upon commencement of manufacture, Licensee shall provide Licensor (number) ( ) Complimentary Units of Product and Promotional and Packaging Materials. Such complimentary Units shall be shi pped t o Li censor ’ s of f i ces and Li censee shal l bear al l cost s and expenses for such shipment (including, without limitation, shipping, handling, customs, duties and all similar costs and expenses).

Licensee will del i ver t o Li censor , at Li censee’ s sol e cost and expense (number) ( ) catalogue sheets showing any of the Products. It is understood that these sheets will be used by Licensor to fulfill its obligation to the copyright proprietor, as well as to generate publicity and consumer interest for these products.

10. Copyright Marking

Licensee agrees that it will cause to appear on or within each product under this Agreement and on or within all packaging, promotional, advertising or display materials bearing the Artworks the copyright notice provided by Licensor as attached hereto as Exhibit C.

11. Delivery

Licensor agrees to deliver to Licensee the Artworks in the form of CDs by a schedule to be agreed upon between the parties.

12. Termination

(1) Licensor may terminate this Agreement with days prior

written notice to Licensee if a petition in bankruptcy is filed by or against Licensee or if Licensee makes an assignment for the benef i t of cr edi t or s, or i f Li censee’ s busi ness i s l i qui dat ed but Licensee shall still be liable for any payments due under Article six (6). All reproduction rights will revert immediately back to Licensor.

(2) Licensee may terminate this Agreement at any time with days prior written notice to Licensor, provided that it remains liable to remit to Licensor any payments due under Article six (6) hereof, but Licensee, upon termination, no longer retains any l i cense t o r epr oduce t he Ar t wor ks on Li censee’ s Pr oduct s and cannot prevent Licensor from licensing the Artworks to any other party.

(3) Either party may terminate this License Agreement if there has been a breach of the terms of the Agreement. A party shall not be deemed in breach of the License Agreement until the complaining party gives notice of the breach to the breaching party and the breaching party fails to cure the breach within days after the giving of the notice in writing.

In the event that this Agreement is terminated by either party hereunder, certain obligations of Licensor shall survive;

including but not limited to those contained in Article six (6).

Upon termination of this Agreement by either party, Licensee shall give to Licensor an accurate accounting of existing stock in inventory. Licensee shall sell-off any existing stock of the Artworks it has within days following the termination or expiration of this Agreement unless otherwise mutually agreed upon in writing. Licensee will be liable to remit to Licensor all such payments and royalties due from the sell-off of existing stock bearing the Artworks. Upon termination or expiration of this Agreement, all rights will revert back to Licensor.

13. Obligation to Confidentiality

Both parties shall be liable to keep confidential all trade secrets and undisclosed data obtained from the performance of this Agreement.

No provision or disclosure of such data to a third party and no use of such data for other purposes without prior written consent from the respective party shall be allowed when this Agreement is in force.

紐約國際授權展[Creative Taiwan]台灣館由主辦單位國科會數位典藏國家型科技計 畫領航,邀請文建會等單位參與,一舉締造了五億五仟萬新台幣預估產值的佳績,不 但打破去年三億九仟萬的預估產值,更再一次將台灣推上國際舞台。台灣館今年首次 將展覽型態分成兩大類:一、授權品牌類(國立故宮博物院、頑石創意、老夫子哈媒 體、artkey 藝術授權中心、李氏愛馬);二、創新品牌類(藝拓國際、甲馬創意、觀心 影像、碩特國際及 PMI 攝影人),共計 10 個品牌單位參展。

今年 [Creative Taiwan]台灣館以典雅紅營造活潑青春的視覺效果,採用蝴蝶蘭象徵 臺灣源源不絕的創意生命力。展出內容以台灣數位典藏及加值應用產品為主,包含趣 味公仔、時尚燈飾、民族皮件、生活用品等品牌,充分展現東方文化藝術之美及創意,

東方文化創意在國際授權市場發光!第 27 屆紐約國際授權展月前落幕,台灣的

台灣館今年以「創意台灣‧美麗希望」(Creative Taiwan)為主題,凸顯東方藝 術之美,由國科會數位典藏國家型科技計畫領航,邀請文建會等單位率團參與盛會,

共有國立故宮博物院、Artkey 藝術授權中心、頑石創意等十家知名品牌單位參展,吸 引大約 1,800 人次到展位參觀洽談,比去年多出約 600 人次。

台灣館今年參展廠商分為授權品牌類(國立故宮博物院、頑石創意、artkey 藝術 授權中心、老夫子哈媒體、李氏愛馬)和創新品牌類(藝拓國際、碩特國際、甲馬創

以開發動畫雛型為基礎,進一步發展性格鮮活的肖像公仔等周邊商品,本系列已受到 國際授權代理商的青睞。

今年頑石創意在紐約授權展中主打最新力作「卡滋幫」(Katz Fun),此動畫故事 敘述一群「卡滋幫」小朋友與外星人「哇哇」的相遇,展現對多元文化的理解包容與 赤子之心。此系列公仔產品曾獲「2006 年國家設計獎產品設計金獎」,動畫系列也獲 得 2006 年經濟部工業局「國際級動畫雛型獎」。

李靜雅表示,由於此展聚集各國的原創力,對頑石創意而言是很適合的國際曝光 場域,透過此展已有國外買家實際與頑石創意啟動國際合作,由頑石授權公仔圖案,

開發歐美市場。
